User Agreement for the komtek.uz Marketplace

1. General Provisions

1.1. This User Agreement (hereinafter referred to as the "Agreement") governs the use of the komtek.uz marketplace platform (hereinafter referred to as the "Marketplace"). It sets forth the rights and obligations of Users and the Marketplace, as well as the rules for the purchase and sale of goods through the platform. Use of the Marketplace is only possible after User registration and acceptance of the terms of this Agreement.

1.2. The Marketplace is an online platform that provides services for Sellers to list products and for Buyers to purchase them. The platform facilitates interaction between Buyers and Sellers, ensuring that the products listed by Sellers comply with the laws of the Republic of Uzbekistan.

1.3. This Agreement becomes effective upon User registration on the platform and remains in effect as long as the User continues to use the platform. If the terms of the Agreement are modified, the Marketplace must notify Users of such changes through personal accounts and by posting the updated version of the Agreement on the website.

1.4. If the User does not agree with the terms of the Agreement, they must immediately stop using the platform.

2. Rights and Obligations of the Parties

2.1. Obligations of the Marketplace:

  • Ensuring the availability of the platform for Sellers to list products and Buyers to place orders.
  • Implementing and maintaining security systems to protect user data and financial transactions.
  • Ensuring a system for processing payments through secure electronic payment systems (e.g., Uzcard, Humo).
  • Providing customer support to resolve issues and inquiries of users.
  • Ensuring compliance with quality standards for products listed on the platform and monitoring compliance with applicable laws.

2.2. Obligations of the Seller:

  • Listing products on the platform that comply with the laws of the Republic of Uzbekistan and providing accurate information about each product (characteristics, price, product condition).
  • Complying with tax obligations and paying all required taxes in accordance with the laws of Uzbekistan.
  • The Seller must contact the Buyer to confirm the order. If the Buyer is unreachable or does not respond within a reasonable period, the order will be automatically canceled.
  • Delivering the product to the logistics company's pickup point (PВЗ) or directly to the Buyer’s address as per the terms.

2.3. Obligations of the Buyer:

  • Providing accurate delivery information (address, contact details).
  • Paying for the product using the chosen payment method (e.g., Uzcard, Humo).
  • Following the return and exchange policy if the product is defective or does not match the description.
  • Responsibility for returning the product if it does not match the description or is defective, and following all the return procedures outlined on the platform.

3. Responsibility of the Parties

3.1. Responsibility of the Marketplace:

  • The Marketplace is not responsible for the quality of the products sold by Sellers on the platform. The Seller is fully responsible for the product.
  • The Marketplace is not responsible for product delivery if delivery is handled by third-party logistics companies.
  • The Marketplace will assist in resolving disputes between Buyers and Sellers but is not liable for any losses if the dispute is not resolved amicably.
  • The platform is not responsible for damages or loss of data caused by Users failing to meet their obligations.

3.2. Responsibility of the Seller:

  • The Seller is fully responsible for ensuring that the product matches the description, quality standards, and delivery times.
  • The Seller is responsible for meeting tax obligations and ensuring compliance with Uzbek tax laws.
  • The Seller is liable for providing accurate product information, including condition (new or used), price, characteristics, defects, and any required certification documents.

3.3. Responsibility of the Buyer:

  • The Buyer is responsible for providing accurate and up-to-date information when placing an order, and for complying with the return conditions for the product.
  • The Buyer is responsible for making timely payment for the product and ensuring the accuracy of the data provided when placing an order.

4. Payment and Delivery Terms

4.1. Payments for goods are made through secure electronic payment systems such as Uzcard and Humo. All transactions are protected from fraud.

4.2. Sellers must provide accurate information about the cost and delivery times for the products. Payments must be made at the time of placing the order or within the period specified by the Seller.

4.3. Products are delivered through logistics companies (BTS, Fargo, EMU) or through personal transportation (e.g., taxi). Delivery costs depend on the weight, size, and destination of the product.

4.4. If the Buyer selects products from different Sellers, each Seller will charge a separate delivery fee. Products may be delivered at different times as the Sellers may be located in different regions, and delivery will occur through different pickup points depending on the location of the Seller.

4.5. If a Seller cannot deliver the product on time, they must notify the Buyer about the possible delay. If the delay exceeds a reasonable period, the Buyer has the right to cancel the order.

5. Privacy Policy

5.1. All personal data of Users, such as name, address, contact details, are collected and processed in accordance with the Privacy Policy. The Marketplace commits to not disclose personal data without the User's consent, except as required by law.

5.2. Personal data may be used to process orders, communicate with Sellers and logistics companies, and inform Users about new products and promotions.

5.3. Personal data will not be shared with third parties except when necessary to fulfill obligations to the User (e.g., for product delivery, payment processing).

5.4. Users have the right to access their data and may request their removal or correction if the data is inaccurate or outdated.

6. Dispute Resolution Procedure

6.1. In case of a dispute between the Buyer and Seller, the parties must attempt to resolve it amicably through communication on the platform.

6.2. If the dispute cannot be resolved amicably, the parties may contact the Marketplace’s support service for assistance in resolving the conflict.

6.3. If the dispute is not resolved, the parties may seek resolution through the courts in accordance with the laws of the Republic of Uzbekistan. All legal proceedings will be held in the courts of Uzbekistan based on the location of the Defendant.

7. Taxes and Tax Obligations of Sellers

7.1. The Seller is responsible for complying with all tax obligations as set forth by the laws of the Republic of Uzbekistan, including income tax, VAT (if applicable), and other mandatory taxes.

7.2. Sellers who are individuals or self-employed must pay income tax at a rate of 12%. Sellers registered as legal entities must comply with corporate tax laws.

7.3. The Marketplace is not a tax agent and is not responsible for ensuring that Sellers meet their tax obligations.

7.4. The Seller must notify the Marketplace of their tax status as a tax resident and any changes to that status.

8. Returns and Exchanges

8.1. The Buyer has the right to return the product if it does not meet the stated characteristics or is damaged, within 14 days from the receipt of the product.

8.2. Returns are only possible if the product has not been used, damaged, and retains its original condition. The Seller is obligated to accept the product for return if it does not match the description or is defective.

8.3. The Seller is responsible for accepting returns if the product is defective or does not meet the stated characteristics.

8.4. The cost of return shipping is covered by the Seller if the product is defective or does not meet the stated description.

8.5. The Seller must provide the Buyer with all necessary instructions for returning the product, as well as information about the return and exchange policy.

9. Special Conditions for Sellers

9.1. Sellers must comply with all legal standards and regulations related to the sale of goods, consumer protection, and taxation.

9.2. Sellers agree not to list prohibited products on the platform, as defined by the laws of the Republic of Uzbekistan or international laws.

9.3. Sellers must monitor the quality and safety of their products, including the necessity for certifications if required by law.

10. Final Provisions

10.1. All provisions of this Agreement are binding on all Users of the platform. If any provision of this Agreement conflicts with the laws of the Republic of Uzbekistan or cannot be applied, the remaining provisions will remain in full force and effect.

10.2. In case of changes to the terms of this Agreement, the Marketplace must notify Users through their personal accounts on the platform. Changes will be effective upon publication on the platform, unless otherwise stated in the Agreement.

10.3. The Marketplace reserves the right to modify the terms of this Agreement at any time. Users are required to regularly check the relevance of the Agreement. Continued use of the platform after changes have been made indicates the User’s acceptance of the new terms.
